BLSM Provider Terms of Service

By creating a Provider account or clicking “Agree,” you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree, do not register or use the Platform.
1. Acceptance and Scope
These Terms govern your access to and use of BLSM’s medical tourism platform and related services provided to healthcare providers. Additional guidelines, policies, and written notices we provide are incorporated by reference.
2. Definitions
- Platform: BLSM’s online platform enabling listing, booking, messaging, and related services.
- Provider: Any hospital, clinic, physician, or healthcare facility registering to offer services on the Platform.
- Patient: Any individual using the Platform to seek healthcare services.
- Parties: Collectively, BLSM and the Provider.
3. Term
These Terms take effect when you accept them during signup and continue until terminated under Section 15.
4. Independence of Parties
The Provider acts as an independent contractor. These Terms do not create an employment, agency, joint venture, or partnership relationship. The Provider is solely responsible for its personnel, operations, taxes, and legal compliance.
5. Provider Representations and Warranties
- Holds and maintains all licenses, permits, and accreditations required to lawfully operate and provide medical services.
- Engages only duly qualified and authorized medical professionals.
- Provides true, accurate, current, and complete information on the Platform and keeps it updated.
- Renders services with due care, skill, and in accordance with professional, ethical, and legal standards.
- Maintains appropriate and current professional liability insurance for the full duration of its use of the Platform.
6. Provider Obligations
6.1 Professional Standards
- Deliver care consistent with internationally accepted medical practices.
- Comply with all applicable local, national, and international medical regulations.
- Promptly notify BLSM of any investigation, suspension, or revocation of licenses or authorizations.
6.2 Platform Use and Compliance
- Keep profiles, service descriptions, pricing, availability, and credentials current.
- Respond to patient inquiries within Platform-specified timelines.
- Use the Platform in accordance with its technical, security, and acceptable use requirements.
6.3 Patient Care and Data Protection
- Prioritize patient safety and obtain informed consent for procedures as required by law.
- Maintain confidentiality and comply with applicable data protection and privacy laws (including Saudi data protection laws and, where applicable, GDPR, HIPAA, or local equivalents).
6.4 Financial Terms
- Accept the commission structure (currently 15%) on all bookings made through the Platform, plus any agreed listing or processing fees.
- Provide accurate billing information and comply with payment processing requirements.
- Notify BLSM promptly of any billing discrepancies.
6.5 Exclusivity and Non‑Circumvention
- Do not bypass the Platform by soliciting, contacting, or accepting direct business from patients introduced by BLSM outside the Platform during the term and for six (6) months after termination.
- Any attempt to circumvent the Platform’s processes or commissions is a material breach.
6.6 Emergency Response
- Adhere to BLSM emergency protocols and maintain reliable emergency contact availability.
7. BLSM Responsibilities
BLSM will provide a secure, reliable Platform for listing, booking, and communication; process payments in accordance with communicated timelines; promote Provider services based on information supplied by the Provider; conduct quality assurance reviews and share feedback when appropriate; and maintain technical support and reasonable data security measures. BLSM does not guarantee any minimum number of bookings, patients, or revenue.
8. Patient Relationship and Disclaimers
- The treatment relationship exists solely between the Provider and the Patient.
- BLSM does not provide medical advice, diagnosis, or treatment and is not responsible for clinical decisions or outcomes.
- The Provider will indemnify BLSM against claims arising from medical services (see 11).
9. Fees and Payments
- The Provider agrees to the commission (currently 15%), any listing fees, and payment terms communicated by BLSM in writing.
- The Provider is responsible for applicable taxes.
- Upon termination, final settlement of outstanding amounts will occur within 30 days, subject to lawful holds, chargebacks, and ongoing investigations.
10. Intellectual Property
- The Provider grants BLSM a limited, non‑exclusive, royalty‑free license to use Provider trademarks, logos, and content to list and market Provider services on the Platform.
- The Platform technology, software, and design are BLSM’s exclusive property. Reverse engineering, unauthorized access, or misuse is prohibited.
11. Liability and Indemnification
11.1 Provider Liability and Indemnity
The Provider is solely responsible for the medical services it provides and will indemnify, defend, and hold harmless BLSM and its affiliates, officers, and employees from claims, damages, costs, and liabilities (including reasonable legal fees) arising out of negligence, malpractice, misconduct, breach of law or these Terms, or misrepresentation of services.
11.2 Platform Liability Cap
BLSM’s liability is limited to the proper operation of the Platform. BLSM is not liable for medical decisions, outcomes, lost profits, or indirect, incidental, or consequential damages. In any event, BLSM’s aggregate liability will not exceed the total commissions paid by the Provider to BLSM in the six (6) months preceding the claim.
12. Confidentiality and Data Protection
Each Party will keep confidential the other Party’s business, financial, technical, and patient information and comply with applicable privacy and data protection laws. The Provider must implement appropriate administrative, technical, and physical safeguards for patient and personal data.
13. Quality Assurance and Monitoring
BLSM may conduct quality reviews, request additional documentation, and seek clarifications to uphold Platform standards. The Provider agrees to reasonably cooperate with such reviews.
14. Changes to the Platform and Policies
BLSM may modify Platform features, processes, and policies to improve quality, security, or compliance. BLSM will provide notice of any material changes that affect Provider obligations.
15. Termination
15.1 Immediate Termination by BLSM
- Loss or suspension of required medical licenses.
- Patient safety or data privacy violations.
- Fraudulent activity or reputational harm to BLSM.
- Failure to maintain required insurance.
15.2 Termination with Notice
- Either Party may terminate with sixty (60) days’ written notice.
- BLSM may terminate with thirty (30) days’ notice for repeated quality or compliance failures.
15.3 Post‑Termination Obligations
- Honor pending patient commitments unless otherwise required by law or safety concerns.
- Complete financial settlements within 30 days, subject to lawful holds.
- The non‑circumvention obligation in Section 6.5 survives termination.
16. Dispute Resolution and Governing Law
The Parties will first attempt in good faith to resolve disputes within thirty (30) days. Unresolved disputes will be submitted to binding arbitration in Riyadh, Saudi Arabia, under Saudi commercial law. These Terms are governed by the laws of the Kingdom of Saudi Arabia.
17. Force Majeure
Neither Party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, pandemics, governmental actions, internet outages, strikes, or war.
18. Updates to These Terms
BLSM may update these Terms from time to time and will notify the Provider of material changes. Continued use of the Platform after notice constitutes acceptance of the updated Terms.
19. Miscellaneous
- Entire Agreement: These Terms constitute the entire agreement between the Parties and supersede prior or contemporaneous understandings.
- Severability: If any provision is held invalid, the remaining provisions remain enforceable.
- Assignment: The Provider may not assign rights or obligations without BLSM’s prior written consent. BLSM may assign in connection with a merger, acquisition, or sale of assets.
- Notices: BLSM may provide notices via the Platform, email, or other reasonable means. Provider notices to BLSM should be sent to providers@blsm.ai unless otherwise specified.
- Electronic Communications and Signatures: The Provider consents to transact and receive communications electronically, and agrees that electronic acceptance has the same legal effect as a handwritten signature.
